General Terms and Conditions for nuem Clients
Effective Date: 1 June 2025

These Client Terms and Conditions ("Terms") apply to any organization ("Client", "you") that receives candidate introductions or uses recruitment and platform services provided by nuem ltd. ("nuem", "we", "us", "our"), whether or not a separate signed agreement is in place.
By receiving candidate information from nuem, using our Hiring Suite platform, or engaging with our services in any form, you acknowledge and agree to these Terms unless otherwise agreed in writing.

1. Services Provided
nuem offers recruitment and talent advisory services across permanent, contract, executive, embedded, and subscription-based hiring models, as well as access to our proprietary Hiring Suite platform.
Details of specific services and deliverables will be governed by a relevant Order Form or Service Agreement where applicable.

2. Use of Hiring Suite Platform
Access to our Hiring Suite platform (including Interview Guides, AI Evaluation, Scheduling and Transcription features) is subject to separate terms of use and may require platform credits, GDPR consent workflows, and platform-specific agreements.
Clients must ensure platform users are authorized and that data processed via the platform complies with applicable data protection laws.

3. Data Processing and Confidentiality
Where nuem acts as a processor of candidate data on behalf of the Client, such processing will be governed by our Data Processing Agreement (DPA). All information shared between the parties — including CVs, assessments, platform data, and hiring materials — must be treated as strictly confidential.

4. Candidate Ownership & Introductions
4.1 Ownership Period
nuem retains ownership of all candidates introduced to the Client for a period of 12 months from the date of first introduction (via CV, video, or any other format), regardless of the method of engagement.
4.2 Unsolicited Introductions
If nuem introduces a candidate before a formal contract is signed, and the Client subsequently hires or engages that candidate within 12 months (directly or indirectly), nuem reserves the right to charge its standard or agreed placement fee.
4.3 Multiple Introductions
If a candidate has already been introduced to the Client by another party, the Client must notify nuem in writing within 48 hours and provide sufficient evidence. Without such notice, nuem’s introduction will be deemed the effective source.

5. Limitation of Liability
To the extent permitted by law, nuem shall not be liable for indirect, incidental, or consequential damages. Our liability in connection with any claim is limited to the fees paid by the Client in the 6 months preceding the incident giving rise to the claim.

6. Governing Law
These Terms are governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the English courts.
